1. Acceptance of Terms
By accessing and using InfoSync's services, you agree to be bound by these Terms and Conditions. If you do not agree to these terms, please do not use our services.
2. Services Description
InfoSync provides enterprise IT solutions including but not limited to:
- Microsoft Dynamics 365 implementation and support
- Oracle Fusion and E-Business Suite services
- SAP S/4HANA solutions
- Odoo ERP implementation
- Cloud services and migration
- Data management and analytics
- AI and machine learning solutions
- Custom software development
3. Client Responsibilities
As our client, you agree to:
- Provide accurate and complete information necessary for service delivery
- Maintain appropriate licenses for third-party software
- Ensure timely payment for services rendered
- Cooperate with InfoSync team during project implementation
- Maintain confidentiality of access credentials provided
4. Payment Terms
Payment terms are as follows:
- Payment schedules will be agreed upon in the service agreement
- Invoices are due within 30 days of receipt unless otherwise specified
- Late payments may incur interest charges as per applicable laws
- All fees are exclusive of taxes unless otherwise stated
5. Intellectual Property
All intellectual property rights in the services and deliverables shall remain with InfoSync unless explicitly transferred in writing. Client receives a license to use the deliverables for their internal business purposes.
6. Confidentiality
Both parties agree to maintain confidentiality of any proprietary or confidential information disclosed during the course of the engagement. This obligation survives the termination of the service agreement.
7. Limitation of Liability
InfoSync's liability for any claims arising from the services shall not exceed the total fees paid by the client for the specific service giving rise to the claim. InfoSync shall not be liable for any indirect, incidental, or consequential damages.
8. Service Level Agreement
Specific service level agreements (SLAs) including uptime guarantees, response times, and support hours will be defined in individual service contracts.
9. Termination
Either party may terminate the service agreement with written notice as specified in the individual contract. Upon termination, client shall pay for all services rendered up to the termination date.
10. Governing Law
These terms shall be governed by the laws of India. Any disputes shall be subject to the exclusive jurisdiction of courts in Vadodara, Gujarat, India.
11. Modifications
InfoSync reserves the right to modify these terms at any time. Changes will be effective upon posting to our website. Continued use of our services constitutes acceptance of modified terms.
